1. Acceptance of Terms

SPOT Maintenance ("the Service") is operated by Applied Autonetics Inc. ("we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use the Service. Your continued use of the Service after any modifications to these terms constitutes acceptance of the updated terms.

2. Description of Service

SPOT Maintenance provides a web-based equipment maintenance tracking platform that allows organizations to manage assets, schedule services, track service history, manage contracts, and collaborate with team members. The Service is provided on a subscription basis following a free trial period.

3. Account Registration

To use the Service you must:

• Provide accurate, current, and complete registration information.
• Maintain and promptly update your account information to keep it accurate and current.
• Keep your password confidential and not share it with any third party.
• Maintain control of devices authorized for multi-factor authentication.
• Notify us immediately of any unauthorized use of your account.
• Be at least 18 years of age or have appropriate authorization from your organization.

You are responsible for all activity that occurs under your account. Each account is for a single organization; creating multiple accounts to circumvent plan limits is prohibited.

4. Free Trial and Subscription

New accounts receive a 30-day free trial with full access to the features of the selected plan. No credit card is required to start a trial. At the end of the trial period, continued access requires a paid subscription. We reserve the right to modify pricing at any time, with reasonable notice to existing subscribers.

• Subscriptions are billed monthly or annually depending on your chosen plan.
• Annual subscriptions are billed as a single upfront payment.
• You may cancel your subscription at any time; access continues through the end of the paid period.
• Refunds are not provided for partial billing periods unless required by applicable law.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable local, national, or international laws or regulations.
• Upload or transmit any malicious code, viruses, or harmful data.
• Attempt to gain unauthorized access to any part of the Service or its infrastructure.
• Use automated means to scrape, crawl, or extract data from the Service.
• Circumvent usage limits, plan limits, account restrictions, or pricing structures.
• Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service.
• Use the Service to store or transmit any content that is unlawful, harmful, or offensive.

6. Data and Privacy

You retain ownership of all data you upload or create within the Service. By using the Service, you grant us a limited license to store, process, transmit, back up, and display your data solely for the purpose of providing, securing, maintaining, and improving the Service. We do not sell your data to third parties. We implement reasonable technical and organizational measures to protect your data, but cannot guarantee absolute security.

We may collect and process usage data in aggregate, anonymized form to improve the Service.

7. Data Retention and Deletion

Upon cancellation of your account, your data will be retained for 90 days to allow for reactivation or export. After this period, data deletion is automatically enforced, and all data associated with your account may be permanently deleted. You may request earlier deletion by contacting support. You are responsible for exporting any data you wish to keep before permanent deletion occurs.

8. Intellectual Property

The Service, including its software, design, text, graphics, workflows, features, and other content, excluding your data, is owned by or licensed to Applied Autonetics Inc. and is protected by intellectual property laws. You may not copy, modify, distribute, reverse engineer, resell, or create derivative works from any part of the Service without our express written permission.

9. Suspension and Termination

We reserve the right to suspend or terminate your account if you violate these Terms, fail to pay required subscription fees, misuse the Service, or use the Service in a manner that could harm the platform, our infrastructure, or other users.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Applied Autonetics Inc. and SPOT Maintenance shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of or inability to use the Service.

Our total liability to you for any claim arising from these terms or your use of the Service shall not exceed the total amount paid by you to us in the three months immediately preceding the claim.

11. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

12. Modifications to the Service

We reserve the right to modify, suspend, or discontinue the Service, or any part of it, at any time with reasonable notice where practicable. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Massachusetts, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state or federal courts located in Massachusetts.

14. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the "Effective" date at the top of this page. We will notify active users of material changes via email or a notice within the Service. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
